Annual Roofing Service Agreement
Terms
Limitations: The Annual Roofing Service Agreement applies only to commercial buildings. All inspections will be limited to visible roofing systems. Additional coupons, promotions, and discounts will not be applied to services rendered under this Agreement. This Agreement only applies to preventative maintenance and will not cover any needed parts. The Contractor shall not be responsible for the cost of service or parts that third parties provide. Repair or replacement of parts or fixtures is not included under this Agreement. Any alteration to, or deviation from this Agreement involving additional services or cost of materials will be an additional expense for the Customer at the Contractor's then-prevailing rates.
Duration and Payment: This Agreement shall be effective for the term of (12) months and will auto-renew upon the Agreement anniversary date. Non-renewal may take place with written direction from the property owner no later than two weeks prior to the anniversary date.
Cancellation: The Contractor may cancel this Agreement at any time, with or without cause. Any changes, adjustments, or repairs made by third parties, unless approved by the Contractor, may terminate this Agreement.
Modification: This Agreement can only be modified in writing, and such modification must be signed by the Contractor and the Customer.
Warranty: The Contractor disclaims all implied warranties of fitness for a particular purpose. The Contractor disclaims the implied warranty that the services performed will provide correction or protection against all roofing failures. The Customer hereby agrees that the Contractor will not be responsible for the loss of use, loss of profit, increased operating or maintenance expenses, illness, or injury, claims of the Customer's tenants or clients, or any direct, indirect, special or consequential damages caused by a delay, failure to service, unavailability of parts, labor difficulties and other conditions beyond the control of the Contractor.
Liability: The Contractor will not be liable for any damages or repairs that occur because of faulty installation by third parties, misuse, neglect, theft, or acts of nature. The Contractor shall not be liable for any delay, loss, damage, or detention caused by the unavailability of machinery, equipment, or materials, forces of nature, or by any cause beyond the Contractor's control. The Contractor will not be liable for any damage that results from the Customer's failure to promptly notify the Contractor of the condition of the roof and any parts thereof. The Customer shall indemnify the Contractor, to the fullest extent permitted by law, and hold harmless the Contractor, its agent, and employees from and against all claims arising out of or resulting from the performance of work hereunder.
Emergency Service: The Contractor does not guarantee 24-hour response time for emergency services during extreme weather conditions, including flooding and hurricanes. The Contractor reserves the right to use discretion as to what qualifies as an emergency service.
Hazardous Substances and Materials: This Agreement does not contemplate the removal of mold, asbestos, or other hazardous substances and materials. If such hazardous materials are encountered, the Contractor will immediately cease work until such materials are properly disposed of.
Arbitration of Disputes: The Contractor and Customer hereby agree to resolve all disputes arising out of this Agreement through binding arbitration administered per the Construction Industry Arbitration Rules of the American Arbitration Association.
